If a foreign company intends to have a local presence in Singapore without the legal proceedings involved in registering a corporation, it can do so by setting up a representative office (RO).

A branch office is an extension of a head-office of a company owned and held by foreign residents.

This subsidiary is a resident company; therefore, it has all the corporate and tax requirements of a private limited company in Singapore.

However, the subsidiary has a legal identity separate from the foreign subsidiary; therefore, the liability of the foreign company with respect to operations of the subsidiary is limited to the amount of subscribed share capital.
